Frank Zaffere has worked for more than 35 years as an attorney, and his decades in the field have been characterized by a diverse and impressive array of experiences. His career reveals his ability to successfully take on new challenges for a wide range of clients, from entrepreneurs to established companies and institutions. Frank's business-related law background includes significant experience in numerous areas, including corporate finance, international transactions, mergers and acquisitions, leveraged leases, joint ventures, mutual fund, investment adviser, broker-dealer and commodity firm representation, structured finance and asset securitization.

At Schuyler Roche, Frank continues to focus his attention in the business law arena. In short, he is a seasoned practitioner who has been exposed to all manner of legal and financial issues and problems faced by his clients.

Over the years, Frank has repeatedly demonstrated the kind of organizational skills that are invaluable to clients. When representing start-ups, he understands that for great ideas to succeed, a firm's attention must be focused in a specific and logical way. In a very different situation, he has also effectively supervised the orderly disposition of assets of a failed enterprise. Frank has the kind of sound judgment that can help companies navigate through the complexities of business, financial and legal issues.

In his early years as an attorney, Frank worked for a prestigious law firm in its New York and Washington, D.C. offices. His experiences with this firm included representing major bracket underwriters in connection with public offerings of securities in the United States and abroad and several significant mutual fund complexes and their investment advisers. In the same time period, he represented a major equity participant involved in leveraged lease transactions and several Fortune 500 companies.

When he came to Chicago in 1980, Frank worked on an equally varied and extensive variety of projects, as he applied his background in finance and business law to handle public and private securities offerings and mergers and acquisitions as well as regulatory compliance issues and bank financing transactions. During this time, he represented a wide range of clients, including several regional investment banking firms, two local commercial banks, a highly respected clearing firm at the Chicago Mercantile Exchange, a substantial local private equity firm and a major media company.

Frank was also a member of Schuyler Roche's business enterprise practice group between 1993 and 1998, and was primarily responsible for the firm's mergers and acquisitions practice. At the time, he also represented a large privately owned company engaged in a national single invoice factoring business. His work on behalf of this client included developing the client's template customer agreements, negotiating the client's credit lines with several area banks and other lenders, and creating and implementing a legal and business restructuring plan for the client.

Frank returned to Schuyler Roche in 2008.

Though it is limiting to identify major accomplishments in his career, many examples suggest the impact and scope of his work. For example, Frank participated as a member of an elite team of lawyers in one of the early investigations of a major oil company under the Foreign Corrupt Practices Act. He was also intimately involved in preparing the registration documents for a proposed ADR offering on behalf of what was at the time the largest securities firm in the world.
